On the managerial model of shareholder-centered companies
摘要/Abstract
摘要：
鼓励大力投资兴业以发展市场经济是我国社会主义初级阶段的一项根本战略措施;股东大会是公司的最高权力机关, 股东是公司的所有者, 是世界各国公司法普遍奉行的两大理念。基于上述两个角度, 我国应该建立以股东为中心的公司治理模式, 并以此对我国新公司法的创新与不足之处进行了评析。
Abstract：
It is a fundamental strategy to encourage the enterprising investment in favor of the market economy in China. The universal company law claims the meeting of the shareholders is considered as the ultimate institution of power in the company, and all shareholders are the owners. The writers, therefore, argue for a managerial model of shareholder-centered companies in the perspective of legal construction.
