The developmental trend of the property structure of the corporations
摘要/Abstract
公司制企业所有权与控制权的分离是一种分工现象,通过分工,实现了职业经理与投资者的有机结合,提高了效率。另一方面,分工又带来了额外的交易费用。由于技术基础和市场环境的变化,所有权与控制权分离带来的分工经济已无法弥补由此造成的交易费用。企业制度变革成为必然趋势,强化所有权对控制权的控制成为企业制度变革的基本方向。
The separation of ownership and control is a sort of distribut ion of labor forces which witnesses the combination of professional managers and investors and the increase of efficiency.How ever, the distribution of labor forces has led to extra transaction cost, which cannot get compensated due to the change of technology and marketing circumstances.This is the trend of transforming of the corporations in perspective of the property st ructure.Likewise, strengthening the control of ow nership over control has become the basic orientation in the transformation of corporations.
