摘要
建立对经营者的激励与约束机制,是股份合作制企业规范运行的重要保证。股份合作制企业要在遵循现代企业一般理论的基础上,结合其企业制度的内在特征,在民主管理机制、经营者持股机制以及经营者年薪制等方面对经营者实施有效的激励和约束。

On the inspiration and restraint of the executives in the joint-stock enterprises

Abstract:
It is one of the important factors for the operation of joint-stock enterprises to establish the mechanism of inspiration and restraint on the top of following the general rules of modern enterprises. In accordance with the intrinsic characteristics of the enterprises,effective inspiration and restrait on executives in the respects such as demoncratic-management mechanism,stock-holding mechanism of the executives and the yearly salary system of the executives is necessary.
